E-Vehicle Rental Terms

This document is the version that applies where your counterparty is OnFire Messenger Ltd. If your counterparty is OnFire Messenger Inc., the corresponding United States version applies to you instead, and is available in the OnFire Legal Center at https://onfire.so/legal.

Data protection. Where this document concerns personal data, the company named above as your counterparty is the data controller for your personal data. For users in the European Economic Area that is OnFire Messenger Ltd., and the supervisory authority is the Irish Data Protection Commission. For users in the United States that is OnFire Messenger Inc., and the rights set out in the United States Privacy Policy apply instead.

If you move, or deal across regions. The company you contract with is determined by where you are located when you use the Services. If you relocate permanently to the other region, the version applying to that region will govern your use of the Services from that point. Dealing with a user, merchant, courier, driver or host located in the other region — for example, buying from a seller in the United States while you are in the European Economic Area — does not change which company you contract with, and does not affect any mandatory consumer protection you have under the law of your country of residence.

PARTIES

These Terms of Service ("Terms") constitute a binding agreement between:

The User ("you" or "your"), being the individual who registers for and uses the e-vehicle rental services.

1. GENERAL

1.1 Scope

1.1.1 These Terms govern the rental and use of electric scooters ("e-scooters") and electric bicycles ("e-bikes") (collectively, "E-Vehicles") made available by OnFire through the OnFire App.

1.1.2 By accessing or using the E-Vehicle rental services, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the E-Vehicle rental services.

1.3 Binding Documents

1.3.1 In addition to these Terms, the following documents form part of the agreement between you and OnFire and are incorporated by reference:

(a) Riding Rules (Annex A to these Terms);

(b) Safety Guidelines, as published on the OnFire App and website;

(c) Fee Schedule, as published on the OnFire App and updated from time to time;

(d) Privacy Policy, available at https://onfire.so/privacy;

(e) OnFire App General Terms of Service, available at https://onfire.so/terms.

1.3.2 In the event of any conflict between these Terms and any other binding document, these Terms shall prevail to the extent of the conflict, except where the conflicting provision is required by applicable law.

1.4 Changes to These Terms

1.4.1 OnFire may amend these Terms from time to time. Material changes will be communicated to you via email or in-app notification at least fourteen (14) days before the changes take effect.

1.4.2 Your continued use of the E-Vehicle rental services after the effective date of amended Terms constitutes your acceptance of the amended Terms. If you do not agree with any amendments, you must stop using the E-Vehicle rental services.

2. USE OF THE APP

2.1 App Functionality

2.1.1 The OnFire App provides the following functionality in relation to E-Vehicle rentals:

(a) locating available E-Vehicles on a map;

(b) unlocking and locking E-Vehicles;

(c) tracking ride duration and estimated cost in real time;

(d) processing payments;

(e) reporting issues, damage, or accidents;

(f) viewing ride history and receipts;

(g) purchasing pre-paid passes.

2.2 Location Services

2.2.1 The E-Vehicle rental services require access to your device's location services. You must enable location sharing while using the services to locate E-Vehicles, track rides, and ensure accurate billing.

2.2.2 Location data is processed in accordance with our Privacy Policy.

2.3 Language

2.3.1 These Terms are provided in English. Where translations are made available, the English version shall prevail in the event of any discrepancy.

2.4 Updates

2.4.1 OnFire may release updates to the OnFire App from time to time. You are responsible for keeping the OnFire App updated to the latest version. Certain features of the E-Vehicle rental services may not be available on older versions of the App.

2.5 Licence

2.5.1 Subject to your compliance with these Terms, OnFire grants you a limited, non-exclusive, non-transferable, revocable licence to use the OnFire App for the purpose of accessing the E-Vehicle rental services.

2.5.2 You may not:

(a) copy, modify, distribute, sell, or lease any part of the OnFire App;

(b) reverse engineer, decompile, or disassemble the OnFire App;

(c) use the OnFire App for any unlawful purpose or in any manner inconsistent with these Terms;

(d) use automated scripts, bots, or other tools to access or interact with the OnFire App.

3. USER ELIGIBILITY AND ACCOUNTS

3.1 Age Requirement

3.1.1 You must be at least eighteen (18) years of age to use the E-Vehicle rental services. By using the services, you represent and warrant that you are at least 18 years old.

3.2 Physical Fitness

3.2.1 You must be physically and mentally capable of safely operating an E-Vehicle. You must not use an E-Vehicle if:

(a) you are under the influence of alcohol, drugs, medication, or any substance that impairs your ability to operate the E-Vehicle safely;

(b) you have any physical or medical condition that prevents you from safely operating the E-Vehicle;

(c) you are fatigued to the extent that your ability to operate the E-Vehicle safely is impaired.

3.3 Account Registration

3.3.1 To use the E-Vehicle rental services, you must register for an account on the OnFire App and provide accurate and complete information, including your name, email address, phone number, and a valid payment method.

3.3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3.3 You must notify OnFire immediately if you become aware of any unauthorised use of your account.

3.4 Valid Payment Method

3.4.1 You must have a valid payment method (credit card, debit card, or other accepted payment method) registered on your OnFire account at all times while using the E-Vehicle rental services.

3.5 Identity Verification

3.5.1 OnFire may require you to verify your identity before using the E-Vehicle rental services, including by providing a valid government-issued photo identification document.

3.5.2 OnFire reserves the right to refuse access to the E-Vehicle rental services if identity verification is not completed satisfactorily.

3.6 Account Termination

3.6.1 OnFire may suspend or terminate your account at any time, with or without cause, including but not limited to:

(a) violation of these Terms or the Riding Rules;

(b) fraud, misrepresentation, or illegal activity;

(c) failure to pay any Charges;

(d) repeated safety violations;

(e) abusive behaviour towards OnFire staff or other users.

4. USE OF E-VEHICLES

4.1 Rental Options

4.1.1 E-Vehicles are available on:

(a) a pay-as-you-go basis, with charges calculated based on an unlock fee plus a per-minute rate during the ride; and

(b) a pre-paid pass basis, offering a set number of minutes, rides, or unlimited use for a fixed period, as described in the Fee Schedule.

4.2 Safety Check

4.2.1 Before each ride, you must perform a visual and functional safety check of the E-Vehicle in accordance with the Riding Rules (Annex A). This check includes inspecting the frame, wheels, tyres, brakes, battery level, bell/horn, lights, and overall condition.

4.2.2 If the E-Vehicle fails any aspect of the safety check, you must not use it and must report the issue through the OnFire App immediately. You will not be charged for an E-Vehicle that you report as defective before commencing a ride.

4.2.3 By commencing a ride, you confirm that you have performed the safety check and that the E-Vehicle is in a condition safe for use.

4.3 Property of OnFire

4.3.1 All E-Vehicles are and remain the property of OnFire (or its authorised lessors). You acquire no ownership rights in any E-Vehicle.

4.4 No Modification or Tampering

4.4.1 You must not modify, tamper with, disassemble, or attempt to repair any E-Vehicle, including but not limited to:

(a) removing or defacing any labels, stickers, QR codes, or identification markings;

(b) altering the speed settings, firmware, or software of the E-Vehicle;

(c) attaching any accessories, trailers, or objects to the E-Vehicle that are not provided by OnFire;

(d) attempting to override the locking mechanism or GPS tracking system.

4.5 Solo Use Only

4.5.1 E-Vehicles are designed for single-rider use only. You must not carry any passengers on the E-Vehicle. For e-bikes, you must not carry any person on the handlebars, rack, or any other part of the bicycle.

4.6 Return Condition

4.6.1 At the end of each ride, you must return the E-Vehicle in the same condition as when you received it (subject to reasonable wear and tear from normal use during the ride).

4.6.2 You must park the E-Vehicle in a permitted parking area, as indicated on the OnFire App map and in accordance with the Riding Rules (Annex A).

4.6.3 You must end the ride through the OnFire App by scanning the QR code or using the in-app "End Ride" function. You are responsible for all Charges until the ride is properly ended in the App.

4.7 Accident Reporting

4.7.1 In the event of an accident, collision, injury, or material damage involving an E-Vehicle during your ride, you must:

(a) call emergency services if anyone is injured;

(b) report the incident to OnFire through the OnFire App or by email to [email protected] within twenty-four (24) hours of the incident;

(c) provide a written description of the incident, including the date, time, location, and circumstances;

(d) provide photographs of any damage to the E-Vehicle, other property, or injuries;

(e) cooperate with OnFire and any relevant authorities in the investigation of the incident;

(f) not admit liability or make any settlement without OnFire's prior written consent (in relation to the E-Vehicle or OnFire's interests).

4.7.2 Failure to report an accident within the required timeframe may result in additional charges and/or suspension of your account.

4.8 Prohibited Uses

4.8.1 You must not use an E-Vehicle:

(a) for any commercial purpose, including delivery, courier services, or hire;

(b) for racing, stunts, or reckless driving;

(c) on motorways, dual carriageways, or roads where E-Vehicles are prohibited by law;

(d) to tow or push any object, vehicle, or person;

(e) in violation of any applicable traffic laws or regulations;

(f) outside the designated service area as indicated on the OnFire App.

5. PAYMENT AND FEES

5.1 Fee Schedule

5.1.1 Fees for the use of E-Vehicles are set out in the Fee Schedule, which is published on the OnFire App and may be updated from time to time. The applicable fees at the time of each ride shall apply.

5.1.2 Fees are structured as follows (indicative; refer to the Fee Schedule for current rates):

5.2 Unlock Fees and Per-Minute Charges

5.2.1 Each ride incurs an unlock fee at the start, plus a per-minute charge for the duration of the ride (measured from unlock to end-of-ride confirmation in the App).

5.2.2 Charges continue to accrue until you properly end the ride through the OnFire App. If you fail to end the ride, charges will continue until:

(a) you end the ride through the App;

(b) the E-Vehicle battery is depleted; or

(c) OnFire remotely ends the ride.

5.3 Pre-Paid Passes

5.3.1 OnFire may offer pre-paid passes ("Passes") that provide discounted rates, included minutes, or unlimited rides for a specified period. The terms of each Pass (including price, duration, included minutes, and applicable vehicles) shall be set out on the OnFire App at the time of purchase.

5.3.2 Passes are personal to the purchaser and may not be transferred, shared, or resold.

5.3.3 Unused minutes or rides included in a Pass do not carry over to the next period unless expressly stated.

5.3.4 Right of Withdrawal for Pre-Paid Passes: If you are a consumer residing in the European Union, you have the right to withdraw from a pre-paid Pass purchase within fourteen (14) calendar days of purchase, without giving any reason, provided that you have not used the Pass during this period. If you have commenced use of the Pass within the withdrawal period, the withdrawal right is lost. To exercise this right, you must notify OnFire using the Model Withdrawal Form (Annex B) or by a clear written statement. See Annex B for full details.

5.4 Promotional Codes

5.4.1 OnFire may issue promotional codes ("Promo Codes") from time to time that provide discounts or credits towards the E-Vehicle rental services.

5.4.2 Promo Codes:

(a) are subject to the specific terms and conditions associated with each code;

(b) are not transferable, exchangeable for cash, or combinable with other offers unless stated otherwise;

(c) may expire and are subject to availability;

(d) are limited to one per user unless stated otherwise;

(e) may be revoked or modified by OnFire at any time.

5.4.3 OnFire reserves the right to withhold or deduct credits or benefits obtained through the fraudulent use of Promo Codes.

5.5 Currency

5.5.1 All fees and charges are denominated and payable in Euro (EUR), unless otherwise indicated in the Fee Schedule for a specific market.

6. PENALTY CHARGES

6.1 General

6.1.1 The following penalty charges may apply in addition to the standard ride fees. By using the E-Vehicle rental services, you agree to pay any applicable penalty charges as set out below.

6.2 Parking Violations

6.2.1 If you park an E-Vehicle outside a permitted parking area (as designated on the OnFire App), or in a manner that obstructs pedestrians, traffic, or access to buildings, you may be charged a penalty of up to EUR 100 per violation.

6.2.2 If the E-Vehicle is parked in a location that requires OnFire to relocate it, an additional relocation fee of up to EUR 50 may apply.

6.3 Damage and Vandalism

6.3.1 You are liable for any damage to an E-Vehicle that occurs during your rental period that exceeds normal wear and tear. OnFire may charge you the actual cost of repair or, where the E-Vehicle is damaged beyond economical repair, the replacement cost of the E-Vehicle.

6.3.2 Deliberate vandalism, destruction, or tampering with an E-Vehicle shall result in:

(a) a charge of the full repair or replacement cost;

(b) immediate and permanent suspension of your OnFire account;

(c) referral to law enforcement authorities.

6.4 Abandonment

6.4.1 If you fail to properly end a ride and abandon an E-Vehicle, OnFire may charge a search and recovery fee of up to EUR 120.

6.4.2 An E-Vehicle shall be considered abandoned if the ride is not ended within the App and the E-Vehicle remains stationary for a period of twenty-four (24) hours or more.

6.5 Loss or Theft

6.5.1 If an E-Vehicle is lost, stolen, or not returned during your rental period, you may be charged up to EUR 500 per e-scooter or up to EUR 800 per e-bike.

6.5.2 You must report any theft of an E-Vehicle to OnFire and to the relevant law enforcement authorities immediately.

6.5.3 OnFire may waive or reduce the charge under this clause if you can demonstrate that the loss or theft occurred without fault on your part and you have fully cooperated with OnFire and the authorities.

6.6 Traffic Fines

6.6.1 You are solely responsible for any traffic fines, penalties, or citations incurred during your use of an E-Vehicle. If OnFire receives a fine or penalty in respect of your use of an E-Vehicle, OnFire shall pass the fine on to you together with a reasonable administration charge of up to EUR 25.

6.7 Charging of Penalties

6.7.1 Penalty charges shall be charged to the payment method registered on your OnFire account. If the charge is declined, OnFire reserves the right to suspend your account and pursue recovery through other means.

6.7.2 If you dispute a penalty charge, you may contact OnFire at [email protected] within fourteen (14) days of the charge. OnFire shall review the dispute in good faith and may request additional evidence.

7. LIABILITY

7.1 Use at Own Risk

7.1.1 You acknowledge and agree that the use of E-Vehicles involves inherent risks, including but not limited to the risk of accident, injury, and death. You use the E-Vehicle rental services entirely at your own risk.

7.1.2 You are responsible for your own safety and the safety of others while operating an E-Vehicle. You must comply with all traffic laws, the Riding Rules (Annex A), and exercise reasonable care and caution at all times.

7.2 "As Is" / "As Available"

7.2.1 The E-Vehicle rental services and E-Vehicles are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, OnFire disclaims all warranties, whether express, implied, or statutory, including but not limited to:

(a) implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

(b) warranties regarding the safety, reliability, or availability of any E-Vehicle;

(c) warranties that the services will be uninterrupted, error-free, or free from defects.

7.3 Limitation of Liability

7.3.1 Subject to Clause 7.4, the aggregate liability of OnFire to you arising out of or in connection with these Terms or the E-Vehicle rental services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed EUR 500.

7.3.2 Subject to Clause 7.4, OnFire shall not be liable for any:

(a) loss of profits, revenue, or business;

(b) loss of anticipated savings;

(c) loss of data;

(d) loss of goodwill or reputation;

(e) personal injury or property damage arising from your use of an E-Vehicle (except where caused by OnFire's negligence or a defect in the E-Vehicle that OnFire knew or ought to have known about);

(f) indirect, special, incidental, consequential, or punitive damages.

7.4 Exclusions from Limitation

7.4.1 Nothing in these Terms shall exclude or limit OnFire's liability for:

(a) death or personal injury caused by OnFire's negligence or the negligence of its employees or agents;

(b) fraud or fraudulent misrepresentation;

(c) defective products under the Liability for Defective Products Act 1991 (as amended);

(d) any other liability that cannot be excluded or limited by applicable law, including mandatory consumer protection rights under EU law.

7.5 Force Majeure

7.5.1 OnFire shall not be liable for any failure or delay in providing the E-Vehicle rental services to the extent that such failure or delay is caused by circumstances beyond OnFire's reasonable control, including but not limited to acts of God, severe weather, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil disturbance, government action, power failure, internet or telecommunications failure, or cyberattack.

7.6 Your Liability

7.6.1 You shall be liable to OnFire for any loss, damage, cost, or expense incurred by OnFire as a result of:

(a) your breach of these Terms or the Riding Rules;

(b) your negligent, reckless, or unlawful use of an E-Vehicle;

(c) any claim by a third party arising from your use of an E-Vehicle;

(d) any damage to an E-Vehicle caused during your rental period.

7.7 Insurance

7.7.1 OnFire does not currently provide insurance or liability coverage for E-Vehicle rentals. You are responsible for maintaining adequate personal liability and accident insurance. If OnFire introduces any coverage in future, its scope, exclusions and limits will be set out in these Terms before it takes effect, and you must not rely on any coverage until it is.

8. CONTENT AND ACCEPTABLE USE

8.1 User Content

8.1.1 By submitting any content to OnFire through the App (including but not limited to ride reviews, photographs, accident reports, and feedback) ("User Content"), you grant OnFire a non-exclusive, worldwide, royalty-free, transferable, sub-licensable licence to use, reproduce, modify, adapt, publish, and display such User Content for the purposes of operating and improving the services.

8.1.2 You represent and warrant that you have all necessary rights to grant the licence in Clause 8.1.1 and that the User Content does not infringe any third party's rights.

8.2 Prohibited Uses

8.2.1 You must not:

(a) use the OnFire App or E-Vehicle rental services for any unlawful purpose;

(b) attempt to gain unauthorised access to the OnFire App, any OnFire systems, or any E-Vehicle systems (including GPS, locking mechanisms, or firmware);

(c) introduce any viruses, malware, or other harmful code into the OnFire App;

(d) use the OnFire App to harass, abuse, threaten, or intimidate any person;

(e) impersonate any person or entity, or misrepresent your affiliation with any person or entity;

(f) use automated means (including bots, scripts, or crawlers) to access the OnFire App or services;

(g) interfere with or disrupt the OnFire App, servers, or networks;

(h) circumvent any security measures, access controls, or usage limits;

(i) scrape, collect, or harvest any data from the OnFire App without OnFire's prior written consent;

(j) use the E-Vehicle rental services in any manner that could damage, disable, overburden, or impair the services.

8.3 Consequences of Breach

8.3.1 If you breach any provision of these Terms, OnFire may, in its sole discretion:

(a) issue a warning;

(b) temporarily suspend your access to the E-Vehicle rental services;

(c) permanently terminate your OnFire account;

(d) charge you for any costs, damages, or losses arising from the breach;

(e) report the matter to law enforcement authorities.

ANNEX A: RIDING RULES

These Riding Rules form an integral part of the E-Vehicle Rental Terms of Service. By using an E-Vehicle, you agree to comply with all Riding Rules set out below.

A.1 PRE-RIDE SAFETY CHECKS

Before each ride, you must inspect the E-Vehicle and confirm that the following are in acceptable condition:

QR Code / IDQR code or identification label is present and readable.

If any check fails, DO NOT ride the E-Vehicle. Report the issue through the OnFire App immediately.

A.2 ROAD SAFETY RULES

A.2.1 Traffic Laws: You must comply with all applicable traffic laws and regulations in the jurisdiction where you are riding, including but not limited to the Road Traffic Acts 1961-2024 (Ireland) and any local by-laws.

A.2.2 Helmets: OnFire strongly recommends wearing an approved safety helmet at all times while riding an E-Vehicle. In jurisdictions where helmet use is mandatory, you must wear a helmet.

A.2.3 Alcohol and Drugs: You must not ride an E-Vehicle while under the influence of alcohol, drugs, medication, or any substance that impairs your ability to ride safely. The legal blood alcohol limits applicable to driving a motor vehicle in your jurisdiction shall apply.

A.2.4 Mobile Phones: You must not use a mobile phone, headphones (in both ears), or any other electronic device while riding an E-Vehicle, except for a single earpiece for navigation audio. You must pull over and stop before using your phone.

A.2.5 Passengers: E-Vehicles are for single-rider use only. You must not carry any passengers.

A.2.6 Speed Limits: You must observe all posted speed limits and ride at a speed that is appropriate for the conditions. In pedestrian areas, you must reduce your speed to walking pace or dismount. The maximum speed of the E-Vehicle is electronically limited; do not attempt to override this limit.

A.2.7 Weather Conditions: Exercise increased caution in wet, icy, or windy conditions. Reduce your speed and increase following distances. If conditions are hazardous (heavy rain, ice, storms, poor visibility), do not ride.

A.2.8 Night Riding: Ensure that front and rear lights are activated when riding in low light or darkness. Wear bright or reflective clothing.

A.2.9 Weight Limit: The maximum rider weight is 95 kg (approximately 209 lbs) for e-scooters and 120 kg (approximately 265 lbs) for e-bikes. Exceeding the weight limit may cause equipment failure and voids your right to any damage limitation under these Terms.

A.2.10 Riding Surface: Ride only on paved surfaces suitable for E-Vehicles. Do not ride on unpaved trails, grass, gravel, sand, or other surfaces not designed for E-Vehicle use unless the E-Vehicle is specifically designed for such terrain.

A.2.11 Pedestrians: Always yield to pedestrians. Do not ride on pavements or footpaths unless expressly permitted by local law. When passing pedestrians, reduce speed, give an audible warning (bell), and pass at a safe distance.

A.2.12 Intersections and Crossings: Slow down at intersections. Obey traffic signals, stop signs, and give-way signs. Use hand signals to indicate turns where safe to do so.

A.2.13 Carrying Items: Do not carry large items that impair your balance, visibility, or ability to operate the E-Vehicle safely. Use designated storage (basket or rack on e-bikes) where available.

A.3 PARKING RULES

A.3.1 Permitted Parking Areas: You must park E-Vehicles only in designated parking areas as indicated on the OnFire App. Where no designated area is available, park in a location that does not obstruct pedestrian access, vehicle traffic, emergency exits, or building entrances.

A.3.2 Prohibited Parking: You must NOT park an E-Vehicle:

(a) on private property without the property owner's consent;

(b) in a manner that blocks or obstructs pavements, pedestrian crossings, wheelchair ramps, cycle lanes, or emergency access routes;

(c) in bus stops, taxi ranks, loading zones, or disabled parking spaces;

(d) inside buildings, on stairs, on escalators, or in lifts;

(e) in parks, gardens, or green spaces (unless designated parking is available);

A.3.3 Upright Parking: E-scooters must be parked upright using the kickstand. E-bikes must be parked using the kickstand or secured at a designated bicycle parking point. Do not leave E-Vehicles lying on the ground.

A.3.4 Reporting Improper Parking: If you encounter an improperly parked E-Vehicle (whether yours or another user's), please report it through the OnFire App. OnFire may offer credits or incentives for re-parking improperly parked E-Vehicles through an in-app programme.

A.3.5 Geo-Fenced Areas: Certain areas may be designated as no-parking zones or no-ride zones within the OnFire App. The E-Vehicle may automatically reduce speed or prevent ride termination in these areas. You must comply with all geo-fenced restrictions.

Withdrawal Instructions

  1. You have the right to withdraw from a pre-paid Pass purchase within fourteen (14) calendar days of the date of purchase, without giving any reason.
  2. To exercise the right of withdrawal, you must inform OnFire of your decision to withdraw by an unequivocal statement (e.g., a letter sent by post or email). You may use this Model Withdrawal Form, but it is not obligatory.
  3. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
  4. Effects of Withdrawal: If you withdraw from a pre-paid Pass purchase, OnFire shall reimburse all payments received from you for the Pass, without undue delay and in any event no later than fourteen (14) days from the day on which OnFire is informed of your decision to withdraw. OnFire shall use the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. In any event, you will not incur any fees as a result of such reimbursement.
  5. Loss of Withdrawal Right: If you have commenced use of the Pass within the withdrawal period (i.e., you have unlocked and ridden an E-Vehicle using the Pass), you acknowledge that you have requested the service to begin during the withdrawal period and you lose your right of withdrawal. However, you may still be entitled to a pro-rata refund for the unused portion of the Pass, at OnFire's discretion.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law

9.1.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Ireland.

9.2 EU Consumer Protection

9.2.1 If you are a consumer habitually resident in the European Union, you shall also benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms shall affect your rights as a consumer under applicable EU consumer protection legislation, including:

(a) the European Union (Consumer Rights) Regulations 2013 (S.I. No. 484 of 2013);

(b) the Consumer Rights Act 2022 (Ireland);

(c) Directive 2011/83/EU on consumer rights;

(d) Directive 2013/11/EU on alternative dispute resolution for consumer disputes.

9.3 Jurisdiction

9.3.1 If you are a consumer, you may bring proceedings in the courts of Ireland or in the courts of the EU Member State in which you are domiciled.

9.3.2 If you are a business user, the courts of Ireland shall have exclusive jurisdiction.

9.4 Online Dispute Resolution

9.4.1 The European Commission provides an online dispute resolution platform, which you can access at https://ec.europa.eu/consumers/odr/. OnFire's email address for the purposes of the ODR platform is: [email protected].

9.5 Negotiation

9.5.1 Before commencing any legal proceedings, the parties shall attempt in good faith to resolve any dispute through direct communication. You may contact OnFire at [email protected]. OnFire shall endeavour to respond within fourteen (14) days.

10. GENERAL PROVISIONS

10.1 Entire Agreement

10.1.1 These Terms, together with the documents referred to in Clause 1.3, constitute the entire agreement between you and OnFire in relation to the E-Vehicle rental services and supersede all prior agreements, understandings, and representations.

10.2 Severability

10.2.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

10.3 Waiver

10.3.1 No failure or delay by OnFire in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.

10.4 Assignment

10.4.1 You may not assign or transfer your rights or obligations under these Terms without OnFire's prior written consent.

10.4.2 OnFire may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

10.5 Third-Party Rights

10.5.1 These Terms do not confer any rights on any person or entity other than the parties.

10.6 Survival

10.6.1 Clauses 6 (Penalty Charges), 7 (Liability), 8 (Content and Acceptable Use), and 9 (Governing Law) shall survive termination or expiry of these Terms.
